Monthly Retainer Agreement
This Retainer Agreement (this "Agreement") is entered into as of effective_date by and between company_name ("Provider") and client_name ("Client").
1. Services
Provider will deliver the ongoing services described in the pricing summary below on a recurring basis for the duration of the term. The scope, deliverables, and service levels for each billing period are as agreed between the parties and may be refined in writing.
2. Term and Renewal
This Agreement begins on the Effective Date and continues for an initial term of term_months months. After the initial term, it renews automatically for successive one-month periods unless either party gives at least notice_days days' written notice of non-renewal.
3. Fees and Billing
Client agrees to the fees set out below. One-time fees are due upon execution of this Agreement. Recurring fees are billed in advance at the start of each applicable billing period (monthly or quarterly as indicated). Review and adjust any line — quantities, prices, optional items — and the totals for each billing cadence update automatically:

Recurring fees continue for each billing period until this Agreement ends. Ad spend, third-party licenses, and travel are billed separately at cost.
4. Payment Terms
Invoices are payable within fifteen (15) days. Provider may pause services on accounts more than fifteen (15) days past due. Fees are exclusive of applicable taxes.
5. Termination
Either party may terminate at the end of the current term with the notice described in Section 2. On termination, Client pays for all services performed and all recurring fees through the end of the then-current billing period. One-time fees already paid are non-refundable.
6. Confidentiality and Ownership
Each party will protect the other's confidential information. Upon full payment, work product created specifically for Client under this Agreement belongs to Client; Provider retains its pre-existing tools and methodologies.
7. Entire Agreement
This Agreement is the entire understanding between the parties regarding the retainer and supersedes prior discussions. Changes must be in writing and signed by both parties.

By signing below, the parties agree to the services, fees, and billing cadences set out above.
