Statement of Work
SOW sow_number: project_name
Between agency_name ("Agency") and client_name ("Client").
1. How this SOW works
This Statement of Work ("SOW") is issued under the Master Services Agreement between Agency and Client dated msa_date (the "MSA"). The MSA applies to this SOW. If this SOW and the MSA conflict, the MSA applies unless this SOW expressly says that it changes a specific MSA term for this project.
2. Project objectives
client_name needs a new website that explains its services clearly, loads fast on every device and turns more visitors into qualified enquiries. This project will:
- Replace the current website with a new design and content structure.
- Give the Client's team a content management system that they can update without developer help.
- Launch by end_date with analytics and enquiry tracking in place.
3. Deliverables and acceptance criteria
D1. Discovery summary
A written summary of stakeholder interviews, analytics review, audience needs and the agreed sitemap. Accepted when the Client approves the sitemap.
D2. Wireframes
Wireframes for up to eight page templates, for desktop and mobile. Accepted when the Client approves the wireframes after up to two rounds of changes.
D3. Visual design
Visual designs for the approved page templates, with a component library. Accepted when the Client approves the designs after up to two rounds of changes.
D4. Built website
A responsive website built from the approved designs on the agreed platform, with content entered for up to 25 pages. Accepted when it matches the approved designs, works in the current versions of Chrome, Safari, Edge and Firefox, and passes the launch checklist.
D5. Launch and training
Launch to the Client's domain, analytics and enquiry tracking set up, and one recorded training session for the Client's editors. Accepted when the website is live and the training is delivered.
4. Out of scope
The following are not included. If the Client wants any of them, the parties will agree them in a change order before work starts:
- Copywriting, photography and video production.
- Page templates beyond the eight agreed in D2, or content entry beyond 25 pages.
- Integrations with third-party systems other than the enquiry form and analytics.
- Hosting, domain and software license fees, and support after the warranty period.
5. Timeline and milestones
The project starts on start_date and targets launch by end_date. The milestones are:
- Milestone 1: Discovery summary approved (D1).
- Milestone 2: Wireframes and visual design approved (D2 and D3).
- Milestone 3: Built website accepted (D4).
- Milestone 4: Launch and training complete (D5).
The timeline depends on the Client's feedback, content and approvals arriving on the agreed dates. If they are late, the remaining dates move by the same amount, and Agency will confirm the new dates in writing.
6. Roles and responsibilities
Agency project lead: agency_lead. Responsible for the plan, the team, status updates every week and the delivery of each deliverable.
Client project lead: client_lead. Responsible for consolidated feedback, approvals, supplying content and access, and making decisions on behalf of the Client.
The Client will supply final copy, images and brand assets by the dates in the project plan, and confirms that it has the right to use them.
7. Review and acceptance
The Client has five business days to review each deliverable. To reject a deliverable, the Client sends a written list of the specific ways in which it does not meet the acceptance criteria. Agency fixes those items and resubmits. If the Client does not send a rejection within the review period, or uses the deliverable in its business, the deliverable is accepted.
8. Fees and payment
The fees for this SOW are fixed, and each milestone is invoiced when it is accepted:

9. Changes
Either party can ask for a change to the scope, timeline or fees. Agency will reply with the effect of the change on cost and timing. A change is agreed only when both parties sign a change order. Work on a change starts after the change order is signed.
10. Warranty
For 30 days after launch, Agency will fix, at no extra cost, any defect that makes the website not match the approved designs or the acceptance criteria. This does not cover changes made by anyone other than Agency.
