Subscription Order Form

This Order Form is entered into as of effective_date between vendor_name ("Vendor") and customer_name ("Customer") and is governed by the parties' Master Subscription Agreement.

1. Subscription

Vendor grants Customer access to the subscribed services for the subscription term of term_months months beginning on the start date above. The platform subscription is billed annually; additional seats are billed monthly; implementation is a one-time charge.

2. Fees

Customer agrees to the fees below. The one-time implementation fee is due on execution. The annual platform fee is due at the start of each subscription year. Per-seat fees are billed monthly in advance. Adjust the seat quantity and the totals for each billing cadence update automatically:

Fees are exclusive of applicable taxes. Recurring charges continue for the subscription term and renew with the subscription unless cancelled under the Master Subscription Agreement.

3. Renewal

Unless either party gives written notice of non-renewal at least thirty (30) days before the end of the current term, the subscription renews for a further term of equal length at the then-current rates.

4. Payment Terms

Invoices are payable within thirty (30) days of the invoice date. Late amounts may accrue interest at the lower of 1.5% per month or the maximum permitted by law.

5. Acceptance

This Order Form, together with the Master Subscription Agreement, is the entire agreement for the subscription described here.
